These Terms of Service (“Terms”, “Agreement”) constitute a legally binding agreement between you (“Client”, “User”, “you”) and Haxcode Technology Solutions (“Haxcode”, “we”, “our”, “us”). By visiting our website (https://www.haxcode.com), submitting a project inquiry, or commissioning our Shopify, web, or custom software development services, you agree to be bound by these Terms.
1. Services & Scope of Work
Haxcode provides digital engineering, website development, custom Shopify store design, e-commerce solutions, web application development, and technical consulting. Every project engagement is governed by a mutually agreed Scope of Work (SOW), Proposal, or Statement of Work specifying deliverables, timelines, and technical milestones.
- Any services, features, or design iterations outside the defined SOW will be subject to a separate written Change Request and additional estimate.
- Deliverables are developed and tested for compatibility with modern, supported evergreen browsers and platforms specified in the project agreement.
2. Client Obligations & Collaboration
To ensure timely project execution, the Client agrees to:
- Provide necessary brand assets, text content, high-resolution imagery, store access credentials, API keys, and feedback in a timely manner.
- Designate an authorized project representative with decision-making authority for milestone sign-offs.
- Review and test delivered milestones within the agreed inspection period (typically 5 to 7 business days).
3. Payment Terms, Milestones & Invoicing
Our payment terms are structured around transparent project milestones:
- Initial Deposit: A standard upfront deposit (typically 30% to 50% depending on project scope) is required prior to project kick-off.
- Milestone Payments: Interim payments are tied to milestone sign-offs (e.g., UI/UX approval, staging build completion).
- Final Balance: The remaining balance is due upon project completion and staging verification, prior to final source code handover or production deployment.
- Invoices must be settled within the timeframe stated on the invoice. Unpaid balances exceeding 14 days may result in a temporary pause of active development.
4. Intellectual Property & Code Ownership
Full Ownership Transfer: Upon full and final settlement of all agreed project invoices, the complete bespoke source code, visual designs, and project assets developed specifically for the Client become the exclusive intellectual property of the Client.
Third-party libraries, frameworks, open-source software (e.g., WordPress, Shopify Liquid engine, Laravel), and pre-existing reusable core utilities remain licensed under their respective open-source licenses or retained by Haxcode with a perpetual, royalty-free license granted to the Client.
5. 3 Months Free Post-Launch Support & Warranty
Every full-scale website, Shopify store, and web application developed by Haxcode includes 3 Months of Complimentary Post-Launch Support starting from the official deployment date:
- Included: Rectification of genuine code bugs, functional defects, or layout regressions directly attributable to the delivered scope of work.
- Excluded: Support does not cover new feature additions, modifications made by third-party developers, issues arising from third-party plugin updates, hosting server outages, or client-side tampering.
6. Confidentiality & Non-Disclosure
Both parties agree to protect and keep confidential all proprietary business information, technical credentials, source code, trade secrets, and financial details exchanged throughout the engagement. Confidential information will not be disclosed to any third party without prior written consent, except where required by law.
7. Limitation of Liability
To the maximum extent permitted by applicable law, Haxcode Technology Solutions shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including loss of profits, revenue, data, or business interruption arising from the use or inability to use the developed software, third-party platform changes, or unforeseen cybersecurity incidents.
Haxcode’s total aggregate liability under any claim arising out of this Agreement shall not exceed the total fees actually paid by the Client to Haxcode for the specific service under dispute.
8. Cancellation, Termination & Refunds
- Either party may terminate a project agreement upon written notice if the other party breaches a material term and fails to cure such breach within 14 days.
- In the event of early cancellation by the Client, Haxcode shall be compensated for all actual work and milestones completed up to the date of cancellation.
- Deposits and milestone fees covering already completed design and engineering work are non-refundable.
9. Governing Law & Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of India. Any legal dispute or claim arising under these Terms shall be subject to the exclusive jurisdiction of the competent courts in Lucknow / Pune, India.
